Status of Terms
1. Status of Terms
These terms, including the provisions of the various procedures, notes and other important information that are either hyperlinked to these terms or stated in relevant sections of this website, constitute a legal document ("the Agreement") which sets out the rights and obligations of you as a purchaser ("the Customer", "you" or "your"), and those of Photomart UK Ltd trading as StrutMount UK ("StrutMount UK", "Photomart", "we", "our" or "us") in relation to the products offered by us via our showrooms, telephone orders, online shop or any other sales channels owned or operated by us.
By submitting an order for the purchase of goods from StrutMount UK you are agreeing to the Agreement and you re-affirm the Agreement every time you submit an order to us.
2. Business-to-Business Sales Only
IMPORTANT: StrutMount UK is a business-to-business (B2B) supplier only. We do not sell to consumers or the general public.
All prices displayed on our website, in catalogues, promotional materials, and quotations are EXCLUDING VAT. VAT at the applicable rate will be added to your order total at checkout and shown clearly on your invoice.
By placing an order with us, you warrant and represent that:
- You are purchasing as a business, not as a consumer
- You are acting in the course of your business, trade, craft or profession
- You have the authority to bind the business you represent
- The products are for business use, not personal or household use
If you order goods whilst falsely claiming to be acting as a business when you are in fact a consumer, we reserve the right to cancel your order and refuse future orders.
We sell professional photography presentation products including professional photo mounts, strut mounts, USB presentation boxes, packaging materials, and related photography presentation products for the professional and event photography industry.
3. Place of Performance and Applicable Law
- Photomart UK Ltd is a company registered in England and Wales (registered March 2020, registration number: 12506435, VAT number: GB365270690) and makes no representation that any products referred to in any of our promotional literature or websites are appropriate for use or available in any other locations outside mainland UK, Northern Ireland, the Channel Islands and the Isle of Man.
- For all orders to StrutMount UK for the delivery of goods to destinations outside of mainland UK, Northern Ireland, the Channel Islands and the Isle of Man:
- All ownership, title and risk in goods will pass to you immediately at the point and time at which such goods are placed at your disposal at our premises in the UK;
- The prices payable for goods as set out on our promotional materials and websites are exclusive of UK VAT (unless stated otherwise), local taxes, import duties and clearances. You acknowledge and agree that Photomart UK Ltd has no liability to you in respect of any such taxes including VAT, duties or clearances which may become payable, after the goods have been placed at your disposal at our premises in the UK;
- You are solely responsible for compliance with local laws if and to the extent that local laws are applicable. You and Photomart UK Ltd each submit to the exclusive jurisdiction of the English courts in relation to disputes arising out of the Agreement.
4. Placing an Order with StrutMount UK
- Orders are subject to acceptance in terms of the Agreement.
- Photomart UK Ltd accepts orders from businesses, government, local authorities, schools, colleges, universities or any other institution or organisation, provided such parties accept the provisions of the Agreement.
- StrutMount UK is a B2B business, therefore all prices are excluding VAT. VAT will be added to all orders at the applicable rate.
- When placing an order through our online store, and just prior to submitting such order, a notice will be displayed on your web browser containing important information such as a description, price and delivery charges of the goods or services ordered.
- Confirmation of receipt of your order is not an agreement on our behalf of acceptance of such order.
- Acceptance of the order and subsequent fulfilment of the contract between you and Photomart UK Ltd occurs when the order is dispatched by us for delivery. We reserve the right not to accept your order subject, but not limited, to any of the following conditions:
- The total value of your order does not meet the minimum required order value;
- The price of goods quoted on the order by us were quoted incorrectly (see paragraph 4.9);
- You have exceeded your existing credit limit;
- Your account with us has expired or no longer exists;
- Your account or credit status has changed;
- You do not have sufficiently available funds;
- Your cheque has not cleared;
- We have reason to suspect theft or fraudulent transaction;
- Quotes that are longer than 5 business days old;
- You are not a genuine business customer.
- Photomart UK Ltd shall not be liable to the Customer for any economic or financial loss or damage as described in paragraph 10.2 of the Agreement, should we decide not to accept your order.
- Your order will be dispatched for delivery the same working day unless the order was received after the required cut-off time as determined by us (5:30pm) in which case it will be dispatched the following working day, or unless we have notified you that we do not accept your order or if you have cancelled the order and subsequently notified us of cancellation (in which case the order you submitted will not be dispatched).
- Subject to errors and omissions excepted (E&OE), the prices and description of goods supplied to you will correspond to their prices and descriptions on our websites and to their prices and descriptions in our promotional literature at the time of printing. If at any stage this is found not to be the case, i.e. the price(s) of one or more of the goods you ordered has/have been quoted incorrectly in the shopping cart, we will put your entire order containing such goods on hold from delivery and make every reasonable effort to notify you of the correct prices and descriptions with an option of either rejecting the goods in question for a full refund or accepting the goods at the correct price.
- All prices displayed in our promotional materials and on our websites are shown excluding VAT unless stated otherwise. Should the applicable VAT rate change, Photomart UK Ltd reserves the right to adjust retail prices accordingly. For items which are placed on back order, VAT will be charged at the applicable rate at the time of dispatch.
- Prices listed on the website www.strutmount.co.uk are exclusive to web orders only. Showroom and telesales pricing may differ on certain products.
- Any back orders placed with StrutMount UK, regardless of time taken to fulfil the order due to supplier issues, will be non-refundable.
5. Offers, Campaigns and Promotions
- Catalogue Offers – Our product catalogues may contain promotional codes which will remain valid until further notice. We advise you to call our sales team to validate any offers we have previously printed as they may be withdrawn at any time without notice.
- Email Campaigns – Our regular email marketing campaigns go to a permissible list of subscribers only that have chosen (via a double opt-in process) to receive such campaigns. Emails may contain promotions, reminders, or general notifications. You may opt-out at any time by clicking the unsubscribe link found in any email.
- Website Promotions and Discounts – Special offers and promotions for our business customers may be advertised on our website, through email marketing campaigns, or on our social media channels. Discounts and promotional pricing will be shown on individual product pages where applicable, or you may receive promotional codes via email or other marketing communications. We have different types of shopping cart discounts:
- Automatically applied discounts when your order reaches a specific condition such as "Buy X, Get Y Free".
- Manually applied discounts when you quote or enter a valid coupon code before placing your final order.
6. Delivery
- StrutMount UK can deliver worldwide provided procedures are strictly adhered to when you place an order.
- Orders received by 5:30pm and accepted by us will be dispatched the same working day for next working day delivery (premium services and non-mainland UK deliveries incur extra charge). Delivery times are not guaranteed.
- For deliveries outside mainland UK, Northern Ireland, Channel Islands and Isle of Man:
- You are responsible for arranging your courier or collecting goods from our premises;
- Orders may incur extra charges if over 94.5kg in the UK or 70kg internationally;
- If Photomart UK Ltd instructs a courier on your behalf, the delivery contract is between you and the courier;
- Photomart UK Ltd accepts no liability for courier performance;
- Payment for delivery will usually be collected by Photomart UK Ltd and passed on as your agent.

7. Warranties and Liabilities
- Photomart UK Ltd sells products with the benefit of the original manufacturer's warranty. We do not manufacture the goods we sell.
- We accept liability only where the manufacturer's DOA (Dead on Arrival) or warranty policy provides for refund, credit, repair, or replacement.
- No liability is accepted for defects due to wear and tear, misuse, negligence, abnormal conditions, failure to follow instructions, or unauthorised repair.
- All implied terms and conditions (except title) are excluded to the fullest extent permitted by law.
- If you believe an item is faulty, contact Customer Support at sales@strutmount.co.uk. An RMA (Return Merchandise Authorisation) may be issued. Goods must be returned with RMA and inspected before replacement is issued.
- If we arrange collection of faulty goods, you must supply packaging photos to prevent disputes. No collection will be scheduled without them.
- Warranty claims: customer pays all shipping costs. Photomart UK Ltd accepts no liability for loss or damage in transit arranged by the customer. We do not reimburse shipping costs.
- If no manufacturer fault is found upon inspection, the item will be returned to you at your cost.
- No liability for economic or consequential losses (including but not limited to loss of profit, goodwill, business, revenue, contracts, or opportunities).
- Maximum liability: VAT-exclusive price of product, not exceeding our insurance cover.
- Not responsible for delays due to force majeure (natural disasters, war, terrorism, strikes, government action, etc.).
- Resellers are responsible for ensuring goods information is correct when reselling to their customers. You may not alter labels or represent Photomart UK Ltd or manufacturers without permission.
- Where liability is found under applicable law, it will not exceed the original purchase price (excluding VAT).
- All goods and services are IP protected. You must not alter or remove branding without permission. In the event of an IP claim, our liability is limited to the purchase price.
8. Returns and Refunds
- Photomart UK Ltd does not operate on a trial basis. Returns are only accepted if agreed in advance. Goods must be new, unused, in original packaging, and in resalable condition. A 15% restocking fee may apply. Delivery charges are non-refundable.
- Customised, special order, or personalised goods (including branded strut mounts) cannot be returned. Out-of-warranty repair returns must include completed returns form and packaging photos.
- Discrepancies or damage must be reported within 3 working days of receipt. RMAs must be returned within 3 days of issue.
- No refunds will be issued until goods are received and inspected. Goods that have been tampered with or are incomplete will be rejected.
- Proof of purchase may be required.
- This section excludes bespoke services (printing, design, albums, etc.).
- Reasonable care required before return. Evidence of overuse may void refund eligibility.
- If we agree to repair or replace goods, you authorise us to carry out necessary work.
- Photomart UK Ltd is not liable for lost or damaged return shipments. Use tracked and insured services.
- Bundled items are non-refundable unless approved by management.
- Refunds will be initiated within 24-48 hours after goods are received and inspected:
- Card refunds: within 5-7 business days.
- PayPal refunds: within 1 business day.
- Items invoiced at zero value, free items, and clearance goods are excluded from return.
- As a business customer, you are responsible for return shipping costs and risk until goods reach our premises.
9. Branded Strut Mounts
- Branded strut mounts are customised items and cannot be returned or refunded unless they are faulty in manufacture or materially different from the agreed specification.
- Artwork for branding must be sent to sales@strutmount.co.uk in black and white vector or PDF format. Production will not begin until we have received written confirmation and approval of the artwork from the customer.
- By approving the artwork proof, you accept full responsibility for the final product. We are not liable for errors in artwork that you have approved.
- Standard lead time is approximately 2 weeks from artwork approval. If you require your order sooner, an express service may be available at an extra charge. Lead times are estimates and may vary. If production takes longer than 2 weeks, no compensation or refund will be provided.
- Orders of 1,000 strut mounts or more include branding in one position and one branding block free of charge. Extra charges apply for:
- Branding in more than one location (£5 per box + £40 blocking fee)
- Orders under 1,000 mounts (£5 per box)
- Event/date-specific branding (£40 per block)
- Oversize branding (larger than 4" up to 8") (£2.50 per box)
- Additional branding blocks (£40 each)
- Branding can be positioned in L-Shaped, 45-Degree, Horizontal, or Back styles, subject to fit. Final position is confirmed at proof stage.
- Standard foil colours are Black, Silver, and Blind Embossing. Other colours may be available by request and may incur extra charges.
- Minimum order quantities apply and will be advised when placing the order. Payment is required in full before production unless agreed otherwise.
10. Software
- All intellectual property rights in any software supplied remain with Photomart UK Ltd or our licensors.
- You may not disassemble, reverse engineer, copy, or modify software without written consent.
- You are licensed to use the software only as described in the accompanying documentation.
- You must not transfer or sub-license software to third parties.
- Software returns are subject to the conditions set out in Section 8.
11. Limitation of Liability
- Nothing in this Agreement excludes or limits our liability for:
- Death or personal injury caused by our negligence;
- Fraud or fraudulent misrepresentation;
- Any liability which cannot be excluded or limited under English law.
- Subject to paragraph 11.1, Photomart UK Ltd is not liable for direct or indirect losses including but not limited to:
- Loss of profits, revenue, or business;
- Loss of goodwill or reputation;
- Loss of data or information;
- Loss of contracts or business opportunities;
- Any losses arising from your resale of products;
- Any losses arising from business interruption;
- Any indirect, special, or consequential losses.
- Our maximum liability to you under this Agreement is limited to the price you paid for the product (excluding VAT), and in no case will exceed £10,000 or the amount of our insurance cover, whichever is lower.
12. Insolvency
- If the Customer becomes insolvent, bankrupt, enters administration, ceases trading, or similar circumstances arise, Photomart UK Ltd may cancel the Agreement or suspend deliveries without liability. Any unpaid goods become immediately due and payable.
13. Matters Beyond Our Reasonable Control
- Photomart UK Ltd is not liable for breaches of this Agreement caused by events outside our reasonable control including but not limited to Acts of God, extreme weather, war, terrorism, strikes, industrial disputes, government action, failure of public or private telecommunications networks, or failure of suppliers or sub-contractors.
14. Exclusion of Consumer Rights
IMPORTANT: These terms and conditions are drafted specifically for business-to-business sales.
As a business customer, the following consumer protection legislation does NOT apply to your purchase:
- Consumer Rights Act 2015
- Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013
- Consumer Protection from Unfair Trading Regulations 2008
You do not have the same statutory rights to cancel or return goods as consumers, including the 14-day cooling-off period that applies to consumer distance selling.
Your statutory rights as a business purchaser under the Sale of Goods Act 1979 (as amended) and the Supply of Goods and Services Act 1982 are not affected by these terms.
15. Language
- In case of conflict between the English version of these terms and any translations, the English version prevails.
